Wageloch acquired by Valsoft Corporation Inc

Overview

Deal closed: June 2023
Oasis M&A mandate: Sell-side
Sectors: Technology
Sub-sectors: Software as a service

Background & motivation

Wageloch is an Australian software company that offers rostering as well as time & attendance solutions. The vendors of Wageloch wished to pursue other lifestyle goals. The motivation of the vendors of Wageloch was to sell the company to someone who would carry on their legacy of having a meaningful connection with their customers as well as someone that had an existing presence in the space.

Challenges

The campaign resulted in a shortlist of interested acquirers who were all software aggregators and who informed us they use inflexible internal rules for valuing software as a service businesses. Several of them put forward offers that were below our client’s requirements stating they had “no room to move” in relation to their offers.

Approach

Oasis Partners identified targets including software as a service businesses, software aggregators and private equity firms invested in the sector. The campaign had a strong international focus.

Results

Oasis Partners went to work negotiating on behalf of its client and used the competitive tension Oasis Partners had created to uncover the reality that all these parties did in fact have the flexibility to improve their offers substantially! In the end our client achieved the result desired.

Testimonial

“Oasis negotiated a much better outcome for us than we would have been able to by ourselves, which was well worth their fee. We would use them again if we were contemplating a similar transaction.”
