Solidtec Pty Ltd acquired by Windfall Pty Ltd

Overview

Deal closed: January 2010
Oasis M&A mandate: sell-side
Sectors: Business services, Information Technology
Sub-sectors: Software (CAD)

Background and motivation

Solidtec provided a CAD tool empowering engineers and designers to work more efficiently, reduce development time and costs and eliminate barriers to innovation.

The owner needed capital investment to achieve an aggressive organic growth strategy. They sought a high net worth investor with experience in software and distribution who could work as a non-executive on the board, assisting with advice and support.

Challenges

By 2010, the Global Financial Crisis had taken a substantial toll on the availability of private capital and the client wanted a result within 12 weeks.

Approach

Oasis M&A leveraged our networks, matching the opportunity to a high net worth investor who had sold a similar business and was ready to invest in the technology sector in a non-executive adviser capacity.  Key in qualifying prospects was their previous experience in the sector and their ability to move quickly. As a result, the deal was completed within 4 months.

Testimonial

“I engaged Mike and Oasis to assist me with a small private capital raising for a startup venture in the software reseller arena. Several parties, and myself had actively invested, and I had a signed a management team to spearhead the new venture’s growth.

Mike quickly grasped the unique requirements of our $1M hybrid capital raising (which concluded as an equity & convertible note offer).

Mike and Oasis were not only able to identify a suitable highly-relevant partner, but provided immediate access, with a resulting very high-level of engagement.

From start to finish, the outcome was delivered inside 6 weeks. Including cash settlement. Unheard of. Legend.

Thanks again Mike, and to the team at Oasis.

In revenue terms, this business went on to achieve 50% of its only competitor inside 24 months (who had been established for nearly 25 years). The shareholders ultimately sold to that same competitor. Great result.”
